THE CLUB TERMS OF USE OF THE SERVICE

1. GENERAL PROVISIONS
1.1. These Terms of Use of the Service (hereinafter the Terms) govern the use of the Services provided by Väo Factory OÜ (registry code 12185654, VAT no. EE102750614) (hereinafter The Club).
1.2. The Terms apply to all Clients, Club Members, guests and other persons who use The Club's Services or are present on the Club premises.
1.3. The Terms of Sale additionally apply to the purchase of Services. The Privacy Policy applies to the processing of personal data.
1.4. By using the Services, the Client confirms that they have read the Terms and undertake to comply with them.
2. DEFINITIONS
2.1. Client – a person who uses or purchases The Club's Services.
2.2. Club Member – a Client who has a valid Core, Flex or Signature membership.
2.3. Membership – the ongoing right to use the Services under a Core, Flex or Signature package.
2.4. Services – all services, rights of use, benefits and additional services offered by The Club.
2.5. Additional Service – a Service offered for a separate fee.
2.6. App – The Club's mobile application or other digital user environment.
2.7. Club premises – the training, work, rest, recovery, changing and auxiliary rooms used by The Club.
2.8. Service Provider – a third party independent of The Club who provides Services on the Club premises.
2.9. Guest – a person who uses The Club's Services on the basis of a guest pass.
3. CONTRACT DOCUMENTS
3.1. The legal relationships between The Club and the Client are governed by:
these Terms;
the Terms of Sale;
the Special Conditions for the Use of Services;
the Privacy Policy;
the house rules, service descriptions and usage instructions published in The Club's official channels.
3.2. In the event of a conflict between the documents, the document governing the specific matter shall apply.
4. ACCESS TO THE CLUB PREMISES
4.1. Use of the Club premises takes place under the conditions and opening hours established by The Club.
4.2. The applicable opening hours are published on The Club's website, in the App or in other official information channels.
4.3. The Club has the right to change opening hours, restrict access or temporarily close the Club premises due to maintenance work, technical problems, security-related reasons, holidays, special events or other justified circumstances.
4.4. The Club has the right to organise special events, competitions, training sessions or other events on the Club premises, due to which access to the Club premises or parts thereof may be restricted.
4.5. Club Members are notified of significant restrictions within a reasonable time via the App, email or other official channels.
5. AGE RESTRICTIONS
5.1. The minimum age for using the Services is 14 years.
5.2. Persons under 14 years of age are not permitted to be on the Club premises without The Club's prior consent.
6. MEMBERSHIPS
6.1. The Club offers Core, Flex and Signature memberships.
6.2. Memberships are personal and may not be transferred, assigned or used on behalf of another person.
6.3. The prices, main benefits and general descriptions of memberships are published on The Club's website, in the App or in other official information channels. More detailed rights, restrictions and conditions of use related to memberships are set out in the Special Conditions for the Use of Services.
6.4. Temporary suspension of a membership is not a standard part of a membership. In exceptional cases, The Club may, at its own discretion, offer a Club Member a special solution, taking into account the circumstances of the specific case.
7. GENERAL PRINCIPLES FOR THE USE OF SERVICES
7.1. The Services must be used for their intended purpose, in good faith and with consideration for the interests of other Clients.
7.2. The Client undertakes to refrain from activities that may damage The Club's property, other Clients or The Club's reputation.
7.3. The Club's property and equipment must be used with due care.
7.4. The Client is liable for damage caused by their action or inaction in accordance with the law.
8. CLUB PREMISES AND EQUIPMENT
8.1. Safety lockers are intended for the temporary storage of items during a visit.
8.2. Items may not be left in the safety lockers after leaving the Club premises.
8.3. The Club has the right to remove items left in the safety lockers after the end of the period of use.
8.4. The Client is responsible for their personal belongings themselves.
8.5. The Club is not liable for lost, stolen or damaged items to the extent that the limitation of liability is permitted by law.
9. GUEST PASSES
9.1. The Club may allow Club Members to purchase guest passes in accordance with the conditions established by The Club.
9.2. A guest pass is purchased by a Club Member who designates a specific guest as the user of the guest pass and provides the data necessary to forward it. A guest pass is personal and is valid only for that guest.
9.3. The Guest must activate the guest pass and provide the data required by The Club before using the Services.
9.4. Transferring, assigning or allowing a third party to use the guest pass is not permitted.
9.5. The Club has the right to refuse activation or use of a guest pass if the data provided is incomplete, incorrect or misleading.
9.6. The Guest undertakes to comply with these Terms on the same basis as a Club Member.
10. SINGLE VISITS AND VISIT PACKAGES
10.1. The Club may offer single visits and visit packages.
10.2. A single visit grants the right to a one-time entry to the Club premises in accordance with the content of the purchased Service.
10.3. A visit package grants the right to use the Club premises according to the number of visits purchased.
10.4. The prices of single visits and visit packages are published on The Club's website, in the App or in other official information channels. Their validity periods, conditions of use and restrictions are set out in the Special Conditions for the Use of Services.
10.5. Unused visits expire at the end of the validity period and are not refunded, except in cases provided by law.
11. ADDITIONAL SERVICES
11.1. The Club may offer Additional Services, including but not limited to:
a personal locker;
laundry services;
bathrobe rental;
guest passes;
Group Training sessions;
other Services added in the future.
11.2. The prices and general descriptions of Additional Services are published on The Club's website, in the App or in other official information channels. The more detailed conditions of use, rights, restrictions and other specifics of Additional Services are set out in the Special Conditions for the Use of Services.
11.3. The Club has the right to change, supplement or discontinue the selection of Additional Services.
12. GROUP TRAINING
12.1. The Club may offer Group Training to Club Members and other eligible Clients.
12.2. The prices of Group Training are published on The Club's website, in the App or in other official information channels.
12.3. The availability, times, trainers, number of participants and other data related to specific Group Training are made known to the Client in the App or in the web environment accessible to a logged-in user.
12.4. The booking, cancellation, waiting lists, participation and other conditions of use for Group Training are set out in the Special Conditions for the Use of Services.
12.5. The Club does not guarantee the continued availability of a specific Group Training, trainer or training format.
13. SERVICE PROVIDERS
13.1. Certain Services may be provided on the Club premises by independent Service Providers.
13.2. Service Providers may include, among others, personal trainers, physiotherapists, masseurs, therapists, instructors and other specialists.
13.3. If a Service is provided by an independent Service Provider, a legal relationship arises between the Client and the Service Provider.
13.4. The Club is not liable for the quality, content or performance of a Service provided by an independent Service Provider.
14. HEALTH AND SAFETY
14.1. The Client uses the Services at their own risk.
14.2. By using the Services, the Client confirms that their state of health allows the use of the relevant Services.
14.3. The Client undertakes to stop using the Service immediately if they feel pain, a health disorder or other deterioration of health.
14.4. The Client undertakes to follow all safety instructions given by The Club and to use the equipment for its intended purpose.
14.5. In the event of an accident, injury or other danger, The Club must be notified as soon as possible.
14.6. STANDARDS OF CONDUCT AND GENERAL GOOD PRACTICE
14.6.1. The Client undertakes to behave politely, respectfully and in good faith on the Club premises and to take into account the interests of other Clients, guests, Service Providers and The Club's staff.
14.6.2. The Client may not behave in a manner that disturbs other persons, damages The Club's reputation or hinders the normal use of the Services.
14.6.3. The Club does not tolerate violent, threatening, offensive, discriminatory, harassing or otherwise inappropriate behaviour.
14.6.4. The Club has the right to demand the immediate cessation of such behaviour and, if necessary, to restrict or terminate the right to use the Services.
14.7. HYGIENE AND TIDINESS REQUIREMENTS
14.7.1. The Client undertakes to maintain good personal hygiene and to use the Club premises in a manner that does not disturb other Clients.
14.7.2. Training equipment, inventory and other items used must be tidied after use and, if necessary, cleaned in accordance with The Club's instructions.
14.7.3. Changing rooms, showers, saunas, work areas and other shared spaces must be used with due care.
14.7.4. The Club has the right to establish additional hygiene and tidiness requirements for the use of specific Services or premises.
14.8. FILMING AND PHOTOGRAPHY
14.8.1. The Client may film or take photographs on the Club premises only to the extent that does not disturb other persons or violate their rights.
14.8.2. Recording other Clients, guests, Service Providers or staff without their consent is not permitted.
14.8.3. The Club has the right to restrict filming or photography in certain premises, at events or in situations.
14.8.4. Filming, photography, content creation or other media production for commercial purposes requires The Club's prior consent.
14.9. INTOXICATION AND PROHIBITED SUBSTANCES
14.9.1. It is not permitted to be on the Club premises in a condition that may endanger the safety of the person themselves or others.
14.9.2. The Club has the right to restrict or prohibit the use of Services by a person who is visibly under the influence of alcohol, narcotic substances or other intoxicating substances.
14.9.3. It is not permitted to use, distribute or store illegal substances on the Club premises.
14.10. COMMERCIAL ACTIVITY AND PROVISION OF SERVICES
14.10.1. The Club premises may not be used for business, advertising, sales activities, conducting training or providing Services without The Club's prior consent.
14.10.2. The Client may not offer paid training, consultations or other Services on the Club premises without a corresponding agreement concluded with The Club.
14.10.3. The Club has the right to immediately terminate activities that are in conflict with this clause.
14.11. ANIMALS ON THE CLUB PREMISES
14.11.1. The presence of animals on the Club premises is not permitted, except where this arises from legislation or The Club has given prior consent.
14.11.2. Assistance dogs and other animals assisting under a right arising from law are granted access to the extent provided by law.
15. THE CLUB'S RIGHTS
15.1. The Club has the right to change, supplement or discontinue Services, Additional Services, memberships, rights of use and other solutions related to the Services.
15.2. The Club has the right to restrict or suspend the use of Services if the Client:
violates the Terms;
violates the law;
damages The Club's property;
disturbs other Clients;
endangers safety;
uses the Services contrary to their purpose.
15.3. The Club has the right to remove from the Club premises a person whose behaviour is in conflict with the Terms.
15.4. The Club has the right to establish additional rules of use for specific Services or premises.
15.5. The Club has the right to suspend or terminate the Client's right of access to the Club premises or Services immediately if the Client's activity poses a danger to other Clients, staff, Service Providers, The Club's property or reputation.
15.6. Suspension or termination of the right of access does not release the Client from the obligation to pay payment obligations that have already arisen.
15.7. The Club has the right to refuse the sale of a new membership or Service to a person whose previous right of access or membership has been terminated due to a material breach of the Terms.
15.8. The Club has the right to decide at its own discretion on the offering and availability of memberships and Services and on the shaping of the membership base, taking into account the Club's concept, the availability of Services, the interests of the Club Member community, safety and the Club's operating principles.
15.9. The Club may, in justified cases, refuse to conclude or renew a membership or Service if this is necessary to protect the Club's safety, the quality of the Services, the interests of other Club Members or the Club's operating principles.
16. OBLIGATIONS OF THE CLUB MEMBER AND CLIENT
16.1. The Client undertakes to provide The Club with correct and up-to-date data.
16.2. The Client is responsible for the safekeeping of their user account, access data and authentication means.
16.3. The Client may not allow third parties to use their membership, user account or access rights.
16.4. The Client undertakes to keep the Club premises, inventory and equipment with due care.
16.5. The Client undertakes to follow the lawful instructions of The Club's staff and authorised persons.
16.6. The Client undertakes to immediately update the contact data provided to The Club if it changes.
17. LIABILITY
17.1. The Club is liable only to the extent arising from applicable law.
17.2. The Club is not liable for indirect damage, loss of profit, loss of savings or other similar pecuniary damage to the extent that the limitation of liability is permitted by law.
17.3. The Club is not liable for damage caused by:
the Client's own action or inaction;
state of health;
breach of the Terms;
force majeure;
the activities of an independent Service Provider.
17.4. The Client is fully liable for damage caused by them to The Club or to third parties.
17.5. The Club is not liable for a delay, interruption or impossibility in the provision of Services if this is caused by force majeure, including but not limited to a power outage, communication failure, fire, flood, epidemic, strike, action by a state authority or other circumstance beyond The Club's control.
18. INTELLECTUAL PROPERTY
18.1. All of The Club's trademarks, logos, designs, texts, photographs, videos, digital solutions, software and other intellectual property belong to The Club or its cooperation partners.
18.2. The Client does not have the right to use The Club's intellectual property for commercial purposes without The Club's prior written consent.
19. PERSONAL DATA
19.1. The Club processes personal data in accordance with the Privacy Policy and applicable legislation.
19.2. The Privacy Policy is published on The Club's website.
20. RESOLUTION OF DISPUTES
20.1. The Club and the Client shall seek to resolve all disputes primarily through negotiation.
20.2. The consumer has the right to turn to the Consumer Disputes Committee.
20.3. The law of the Republic of Estonia applies to the resolution of disputes.
21. FINAL PROVISIONS
21.1. The Club has the right to amend the Terms.
21.2. Clients are notified of significant changes within a reasonable time before the changes take effect.
21.3. If any provision of the Terms turns out to be invalid, this does not affect the validity of the remaining provisions.
21.4. The Estonian-language version of the Terms shall prevail.
21.5. These Terms enter into force upon their publication in The Club's official information channels.
21.6. The Club may send notices related to the Terms via the App, email, the website or other official information channels.
21.7. Notices published in the App or sent to the email address provided by the Client are deemed to have been delivered to the Client upon the lapse of a reasonable time from their publication or sending.
