1. Introduction and Scope

These terms of service ("Terms") govern your access to and use of the website https://theclub.ee, the physical club premises, and all related services (collectively the "Services"), provided by Väo Factory OÜ (registry code 12185654, VAT no. EE102750614), located at Voolu tn 6-1, Nõmme district, Tallinn, Harju county, 11613, Estonia (hereinafter "The Club", "we").

By accessing the website, joining the waiting list, purchasing a membership, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Services.

These Terms are governed by the Estonian Law of Obligations Act, the Consumer Protection Act, the General Data Protection Regulation (EU) 2016/679, and other applicable Estonian and EU law.

If there is any conflict between these Terms and mandatory consumer protection provisions, the mandatory statutory provisions prevail.

2. Definitions

  • Member — a person who has entered into a membership agreement with The Club and holds a valid membership.

  • Waiting list user — a person who has submitted their data to join The Club’s waiting list.

  • Services — all services provided by The Club, including the website, training areas, coworking areas, recovery and leisure areas, events, and digital services.

  • Premises — The Club’s physical location at Peterburi tee 2, T1 Keskus, 11415 Tallinn, Estonia.

  • House Rules — the rules of conduct that apply on the Premises and are made available to Members.

  • Membership Agreement — the agreement between you and The Club governing your membership, including the package, price, duration, and recurring payment terms.

  • Terms of Sale — a separate document governing the purchase of memberships and Services through the website.

3. Eligibility

To use the Services, you must be at least 14 years old. If you are between 14 and 18, you may use the Services only with the consent of a parent or legal guardian.

By using the Services, you confirm that you meet these requirements and that the information you provide is true and current.

4. Description of Services

The Club is a premium fitness, work, and recovery centre located at T1 Keskus in Tallinn.

Training. Structured training environment including a gym, boxing ring, Reformer Pilates studio, group classes, and personal training.

After Gym & Lounge. Recovery and social area: sauna world, showers, relaxation zones, lounge, events, pool table, and sports bar.

Work area. Meeting rooms, flexible workspaces, coffee area, and collaboration rooms.

We reserve the right to modify, supplement, or temporarily suspend Services, giving Members reasonable notice.

5. Waiting List

By joining the waiting list, you:

  • confirm that the information provided is accurate;

  • agree to receive communications related to the waiting list and joining;

  • understand that joining the waiting list does not guarantee membership;

  • may opt out at any time by notifying us by email.

We may remove a waiting list user in case of inaccurate information.

6. Membership

6.1 Membership Agreement

Access to the Premises and Services requires a valid membership. Memberships are personal and may not be transferred to a third party.

6.2 Fees and Prices

Membership fees are set out in the Membership Agreement. All prices include VAT and are stated in euros (€).

6.3 Recurring Payments and Automatic Renewal

Memberships renew automatically for the next billing period by default, unless the Member terminates the membership in accordance with Section 6.5.

For automatic renewals, the fee is charged to the Member’s saved payment method on the agreed billing date. Card details are stored securely by Maksekeskus AS — The Club does not have access to this data. More detailed recurring payment terms are set out in the Terms of Sale.

6.4 Right of Withdrawal (14 days)

A Member who is a consumer has the right to withdraw from the Membership Agreement within 14 days from the conclusion of the contract without providing a reason. The detailed procedure and exceptions are set out in the Terms of Sale.

6.5 Termination by the Member

A Member may terminate their membership at any time via the The Club App.

If the Member has selected a membership with a minimum commitment period (e.g. 12 months), the membership may be terminated to take effect at the end of that commitment period, unless otherwise stated in the Membership Agreement.

The membership ends at the end of the current billing period. Fees already paid are not refunded.

6.6 Suspension

Memberships may be suspended by mutual agreement (e.g. long-term illness, extended travel). Terms are agreed individually.

6.7 Termination by Us

We reserve the right to terminate or suspend a membership if the Member violates these Terms or the House Rules, or behaves in a way that endangers others.

7. House Rules

The Member undertakes to:

  • act respectfully toward other Members and staff;

  • use equipment according to instructions;

  • follow hygiene requirements;

  • avoid prohibited conduct (e.g. banned substances, aggression).

We may remove Members or terminate memberships in case of serious breaches.

8. Health and Risks

Training carries inherent risks. You use the Services at your own responsibility.

We recommend that you:

  • consult a doctor before starting training;

  • inform your trainer about relevant health conditions (voluntary);

  • train according to your capabilities.

9. Intellectual Property

All content (logo, text, photographs, video, software) belongs to The Club or its licensors. Unauthorized use is prohibited.

10. Service Availability

Services may be temporarily interrupted due to maintenance, technical issues, or force majeure. Advance notice will be given where possible.

11. Personal Data

We process personal data in accordance with our Privacy Policy. The data controller is Väo Factory OÜ.

12. Third Parties

We are not responsible for third-party services or content linked through our Services.

13. Limitation of Liability

The Club is liable in accordance with Estonian law. We are not liable for indirect or non-material damage unless caused by gross negligence or willful misconduct.

14. Dispute Resolution

Complaints: info@theclub.ee (response within 15 days).

Disputes are resolved in Harju County Court unless agreed otherwise.

15. Force Majeure

Neither party is liable for failure due to force majeure events.

16. Changes to the Terms

We may amend these Terms with 30 days’ notice. Members may terminate before changes take effect.

17. Severability

Invalid provisions do not affect the rest of the Terms.

18. Entire Agreement

These Terms, together with the Privacy Policy, Terms of Sale, and Membership Agreement, form the entire agreement.

19. Governing Law

These Terms are governed by the laws of the Republic of Estonia.

20. Language

In case of discrepancies, the Estonian version prevails.
